Arnel is a lawyer in the Philippines whose practice concentrates mainly on corporate, tax, investments and real estate transactions and services. His practice in those areas is complemented by his being a Certified Public Accountant and a Licensed Real Estate Broker.

Prior to engaging into practice of law, he was previously the Asst. Vice President for Finance of one of the biggest real estate development companies in the Philippines.

Later, he became the Corporate Lawyer for a group of companies engaged in car dealership chains, retail and mall operations, car repair and service chain, rent-a-car, hotel and restaurants, management services, banking and insurance institution, and real estate development. Also, he has a previous experience as internal auditor for an international freight forwarding company in the Philippines, thereby giving him substantial understanding of international trade.

His law office, ARNEL DELA ROSA LAW OFFICE, have assisted several foreign entities set up their companies in the Philippines. He has set up, and given advice to, companies engaged in IT Services, Web and Mobile App and Game Development, Knowledge Process Outsourcing (KPO) and BPO, retail and trading, real estate, agri-business, transportation, and consulting and other service providers, among others. He acts as Corporate Secretary and/or Director for some of his clients.

As a real estate professional, Atty. Dela Rosa serves as a Legal Consultant for two of the biggest professional organizations of the real estate practitioners: the Philippine Institute of Real Estate Service Practitioners (PhilRES) and the Real Estate Brokers´ Association of the Philippines. He is likewise a member of the Integrated Bar of the Philippines and the Philippine Institute of CPAs. Atty. Dela Rosa teaches contract laws and taxation. .

Jay has an extensive experience in Business Formation and Registration with the Securities and Exchange Commission (SEC), City Business Permits and the Bureau of Internal Revenue(BIR). He has more than 10 years of Accounting, bookkeeping, tax consulting and business consultancy for various clients. His clients includes Ayala subsidiaries and a number of Small and Medium Businesses.

Presently he is an Accounting Consultant with VOffice Philippines Inc., President of Bizbox Asia Consulting Inc., HR Director of CYMPLE Business Solutions International Inc., an Accounting Consultancy firm. He is a graduate of Diploma in Industrial Relations, with the University of the Philippines Diliman. He also has a Masters in Business Administration, from the University of the East Manila.

He finished his undergraduate course of B.S. Major in Management, in April 2002 and took B.S. Accountancy 1995-2000 from University of the East - Manila.

Arvin G. Rafol is also currently the Managing Partner of Rafol & Associates, CPAs, a general professional partnership of Certified Public Accountants duly organized and existing under the laws of Republic of the Philippines. Arvin was a former Manager at PricewaterhouseCoopers (PwC) SDC Manila Ltd and was a Senior Associate at SyCip Gorres Velayo and Co. (SGV).

He has collectively spent eight (8) years in public accounting practice handling listed companies, non public companies and medium-sized enterprises. He is currently an MBA candidate at Ateneo de Manila Graduate School of Business. He is accredited by the Board of Accountancy (BOA), the Bureau of Internal Revenue (BIR), the Cooperative Development Authority (CDA) and active member of Philippine Institute of Certified Public Accountants (PICPA). His fields of specialization are assurance, financial audit, accounting, corporate taxation, business registrations and incorporation. He has been exposed to audits and business process review engagements of various industries like automotive, manufacturing, services, non-life insurance, semiconductor, real estate and NGOs. He has also successfully defended various BIR assessments with different RDOs. He was seconded to Ernst & Young Singapore to perform audits of companies in maritime and shipping industries.

I am a foreigner. Do I really need to put in US$200,000 to incorporate a company here?
Yes, due to the recent tightening of the law, you really need to remit USD200,000 into a Philippines bank account as part of the process to incorporate your company here in the Philippines. The money can be withdrawn after the release of the SEC certificate.
How long does it take to incorporate a company here in the Philippines?
In the Philippines, most people usually break the entire process into 2 parts. Part 1 is to get your company name approved and registered with SEC. This process can be completed within 7 working days. The 2nd part is to get your company registered with the local municipal offices and tax offices. This process will take about 3 - 5 weeks. Most companies may start to operate or prepare to operate once SEC Certificate is obtained.
